To define the role, composition, powers and conduct of the Governing Board as the Foundation’s highest decision-making body.

Purpose

To define the role, composition, powers and conduct of the Governing Board as the Foundation’s highest decision-making body.

Key commitments

  • The Board sets strategy and values, and safeguards the mission, assets and reputation.
  • It approves budgets, annual accounts and major commitments, and appoints and oversees the Executive Director.
  • Board members act honestly and solely in the Foundation’s interests, with reasonable care and diligence.
  • Conflicts of interest are avoided and disclosed; reserved matters require Board approval and cannot be delegated.
  • Decisions, attendance and abstentions are minuted and retained.
